Section 46
Management and operation of legal entities

(1) Except as otherwise mentioned in the law, the management and operation of a legal person shall be according to the provisions in the statutes of such person, and in the absence of such provisions, by one or more directors.
(2) According to sub-section (1), the legal person shall be responsible for the management and operation of the director.
